Terms & Conditions

1. Introduction

1.1 These Terms and Conditions (“Terms”) govern all services provided by JustCulture Ltd t/a PodCulture  (“PodCulture”, “we”, “us”, “our”), a multimedia production company operating from 10 John Street, London, WC1N 2EB


1.2 By commissioning or engaging PodCulture, you (“Client”, “you”, “your”) agree to these Terms.


1.3 These Terms apply to all work unless a separate written agreement has been signed, in which case the specific provisions of that agreement will prevail.

2. Services

2.1 PodCulture provides professional podcast, audio-visual, and multimedia production services, including studio hire, video podcast recording, editing, and related creative services (the “Services”).


2.2 We will perform the Services with reasonable skill, care, and professionalism, consistent with industry standards.


2.3 Any production schedules, milestones, or delivery dates are estimates unless expressly guaranteed in writing.

3. Studio Use & Conduct

3.1 Clients using our studio must follow all on-site health and safety instructions.


3.2 You are responsible for the conduct of your guests, talent, and representatives while on our premises.


3.3 PodCulture reserves the right to refuse entry or terminate a booking if behaviour is unsafe, unlawful, or disruptive.


3.4 Clients are responsible for any loss or damage caused to PodCulture equipment, studio spaces, or property by their personnel or guests.

4. Fees & Payment

4.1 Fees for our Services are set out in our proposal, quotation, or written confirmation.


4.2 Unless otherwise agreed, a 50% deposit is due on booking, with the balance payable within 14 days of invoice.


4.3 Late payments may incur interest at 4% above the Bank of England base rate per annum.


4.4 All fees are exclusive of VAT unless stated otherwise.

5. Cancellations & Rescheduling

5.1 Cancellations made more than 7 days before the booking date will incur no penalty.


5.2 Cancellations made within 7 days of the scheduled session may be charged up to 50% of the quoted fee; within 48 hours, the full fee may apply.


5.3 Rescheduling is subject to availability and may incur an administrative fee.

6. Intellectual Property

6.1 Upon full payment, PodCulture assigns ownership of the final delivered materials (audio/video files) to the Client.


6.2 PodCulture retains all rights to any underlying templates, production materials, or non-client-specific content used in creating the final deliverables.


6.3 PodCulture may use short excerpts or stills from projects for promotional purposes unless confidentiality has been expressly agreed in writing.

7. Client Responsibilities

7.1 You warrant that all content you supply (scripts, logos, music, video, images) does not infringe the intellectual property or privacy rights of any third party.


7.2 You are responsible for obtaining any necessary licences, releases, or permissions for materials appearing in your recordings.

8. Limitation of Liability

8.1 Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.


8.2 To the fullest extent permitted by law, PodCulture shall not be liable for:

  • Indirect or consequential losses;

  • Loss of profits, revenue, or data;

  • Any delay or failure caused by circumstances beyond our reasonable control.

8.3 Our total aggregate liability for all claims shall not exceed the total fees paid by the Client for the relevant Services.

9. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the project. This obligation survives termination of the agreement.

10. Termination

Either party may terminate this agreement with written notice if the other materially breaches its obligations and fails to remedy the breach within 14 days.

11. Force Majeure

Neither party shall be liable for failure to perform due to events beyond reasonable control, including natural disasters, illness, strikes, or equipment failure.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the English courts.
